1. Agreement to These Terms
These Terms and Conditions ("Terms") are a legal agreement between you and Bootheo LLC ("Bootheo," "we," "us," or "our") governing your access to and use of the Bootheo platform, including our mobile application, web dashboard at dash.bootheo.com, and associated services (collectively, the "Service").
By creating an account, joining an organization, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and references to "you" include that entity.
2. Description of the Service
Bootheo is a mobile-first operations and business lifecycle platform for photo booth operators. The Service covers post-booking operations including event management, gear inventory and service history, crew assignments, run-of-show workflows, venue profiles, contact and client records, and business lifecycle tools including organization transfer and due diligence package generation.
Bootheo is not a booking tool, client CRM, or payment processor for your end customers. It is an internal operations platform for your business.
3. Accounts and Organizations
3.1 Account Registration
To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@bootheo.com if you believe your account has been compromised.
3.2 Organizations
The Service is structured around organizations. An organization has one owner and may have multiple members (staff). The owner is responsible for the organization's account, subscription, and compliance with these Terms.
3.3 Invitations and Member Roles
Organization owners may invite staff members to join their organization. Members access the Service subject to the permissions granted by the owner. By accepting an invitation, a member agrees to these Terms. The owner is responsible for ensuring their members' use of the Service complies with these Terms.
3.4 Accurate Information
You agree to provide accurate, current, and complete information when creating your account and to keep that information updated. We reserve the right to suspend or terminate accounts associated with false or misleading information.
4. Subscriptions and Payment
4.1 Subscription Plans
Access to the Service requires a paid subscription. Current plans and pricing are listed at bootheo.com/pricing. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
4.2 Billing
Subscriptions are billed on a monthly or annual basis, in advance. Payment is processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are in US dollars unless otherwise stated.
4.3 Free Trials
We may offer free trials at our discretion. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends.
4.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@bootheo.com. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused portions of a subscription period, except where required by applicable law.
4.5 Refunds
All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. If you believe a charge was made in error, contact us at support@bootheo.com within 30 days of the charge.
4.6 Taxes
You are responsible for any taxes, levies, or duties applicable to your subscription, excluding taxes on our net income. Where required by law, we may collect and remit applicable taxes on your behalf.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to store, transmit, or process data in violation of any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Service or another user's account
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to transmit malware, spam, or other harmful or disruptive content
- Scrape, crawl, or systematically extract data from the Service without our written permission
- Resell, sublicense, or otherwise commercialize access to the Service without our written permission
- Use the Service in any way that could damage, disable, overburden, or impair our systems
We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these Terms.
6. Your Data
6.1 Ownership
You retain ownership of all data, content, and information you submit to the Service ("Your Data"). We do not claim any ownership rights in Your Data.
6.2 License to Operate the Service
By submitting Your Data to the Service, you grant Bootheo LLC a limited, non-exclusive, worldwide license to store, process, display, and transmit Your Data solely as necessary to provide and operate the Service. This license ends when Your Data is deleted from our systems in accordance with our data retention practices.
6.3 Responsibility for Your Data
You are solely responsible for the accuracy, legality, and appropriateness of Your Data. You represent and warrant that you have all rights necessary to submit Your Data to the Service and that Your Data does not violate any applicable law or third-party rights.
6.4 Data Practices
Our collection, use, and handling of personal information is described in our Privacy Policy at bootheo.com/privacy, which is incorporated into these Terms by reference.
7. Account and Data Deletion
7.1 Deletion by You
You may delete your account or organization at any time through the Settings section of the Bootheo dashboard.
7.2 Immediate Access Revocation
Upon initiating deletion, your access to the Service is revoked immediately. You will be signed out and will not be able to log in or access your data during the grace period described below.
7.3 30-Day Grace Period
Your data enters a soft-deleted state for 30 days following your deletion request. During this period, if you believe the deletion was made in error, you may contact us at support@bootheo.com to request restoration. Restoration is handled by our support team; there is no self-service undo.
7.4 Permanent Purge
Important: After the 30-day grace period, your data is permanently and automatically deleted. This deletion is irreversible. We strongly encourage you to export any data you wish to retain before initiating deletion.
Data purged includes: your user record, organization record, all events, gear inventory and service history, contacts, client records, venue profiles, staff assignments, templates, invitation records, and all uploaded files.
7.5 Retained Data After Deletion
A narrow category of data is retained after permanent purge for legal and operational reasons:
- Stripe customer record: retained for financial, tax, and chargeback purposes as required by financial recordkeeping obligations.
- Deletion audit record: a narrow metadata record capturing who initiated the deletion, when, and the organizational scope. Retained for compliance and dispute resolution purposes. Does not contain operational data.
7.6 Member vs. Owner Deletion
If you are a staff member deleting your own account, your personal account record is deleted. Operational data you contributed to the organization — event records, gear entries, assignments — is reassigned to the organization and continues to exist. Your name is removed and replaced with a neutral label. The organization's data is not deleted when a member departs.
If you are the organization owner deleting the organization, all data described in Section 7.4 is purged, subject only to the retentions in Section 7.5.
7.7 Deletion by Us
We reserve the right to suspend or terminate your account and delete your data if you violate these Terms, if your subscription lapses and remains unpaid for 30 or more days, or if we discontinue the Service. We will provide reasonable notice where practicable before deleting data due to subscription lapse.
8. Intellectual Property
8.1 Our IP
The Service, including its software, design, features, and content (excluding Your Data), is owned by Bootheo LLC and protected by intellectual property laws. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service as described herein.
8.2 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution to you.
9. Third-Party Services
The Service integrates with third-party services including Stripe (payment processing), Supabase (database and authentication), Resend (email), and Apple and Google (authentication and app distribution). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
We do not warrant that the Service is suitable for any particular business purpose or that it will meet your specific operational requirements. You assume full responsibility for evaluating the suitability of the Service for your needs.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOOTHEO LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Bootheo LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third-party rights.
13. Service Availability and Changes
We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. For material changes or discontinuation, we will provide at least 30 days' notice by email where practicable.
We may update these Terms from time to time. When we make material changes, we will notify you by email and/or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Orange County, Florida, and you consent to personal jurisdiction in those courts.
Before filing any legal claim, you agree to contact us at legal@bootheo.com and attempt to resolve the dispute informally for at least 30 days. This informal resolution requirement does not apply to claims for injunctive or other equitable relief.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bootheo LLC regarding the Service and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
15.4 Assignment
You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
15.5 Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure failures, or third-party service outages.
15.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
